The terms that govern your use of the INTAI website, assessments and training tools, and the general terms of business that apply to our consultancy services.
Last updated: 27 September 2026
These Terms and Conditions (“Terms”) are a legal agreement between INTAI LIMITED (“INTAI”, “we”, “us” or “our”) and any person or organisation that accesses or uses our website at intai.co.uk, including the INTAI Assessment Suite™ and related training diagnostics (together, the “Website”), that engages us to provide consultancy, advisory, training or related services (the “Services”), or that registers for, trials or subscribes to the INTAI Governed AI Portal (the “Portal”, see Section 8).
By accessing or using the Website, you accept these Terms in full. If you do not agree to these Terms, you must not use the Website. Where INTAI provides Services to you or your organisation under a separate signed proposal, statement of work, letter of engagement or master services agreement (an “Engagement Agreement”), that Engagement Agreement governs the specific Services described in it; these Terms continue to apply to your general use of the Website and, to the extent not inconsistent with an Engagement Agreement, to our wider relationship with you.
We have written these Terms to be clear and proportionate, in a style consistent with the terms of business used by established professional services and consultancy firms. They do not constitute legal advice, and if you have questions about how they apply to your circumstances, we recommend you seek your own independent legal advice.
In these Terms, unless the context requires otherwise:
Headings are for convenience only and do not affect interpretation. References to “writing” include email. Where these Terms and an Engagement Agreement conflict in relation to a specific Service, the Engagement Agreement takes precedence for that Service.
INTAI LIMITED is a UK-based AI governance, risk, compliance and assurance consultancy with correspondence address at Boxwood Farm, Station Road, Old Bursledon, Southampton, United Kingdom, and working locations in Salford (MediaCity) and London. You can contact us at enquiries@intai.co.uk or through our contact page.
By accessing the Website, browsing our Content, completing an Assessment, submitting an enquiry or subscribing to our communications, you agree to be bound by these Terms as they stand at the time of use. We recommend you review this page periodically, as we may update these Terms from time to time in accordance with Section 25.
These Terms apply in addition to, and should be read alongside, our Privacy Policy and Copyright notice, both of which are incorporated into these Terms by reference.
The Website and Services are intended for business use by organisations and the individuals who represent them, and are not directed at consumers or at children. By using the Website or entering into an Engagement Agreement on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.
You are responsible for ensuring that any information you provide to us, including in an Assessment or an enquiry, is accurate and that you have the right to share it with us, including where it concerns colleagues or third parties.
INTAI provides AI governance advisory, governance framework and operating model design, risk and compliance consultancy, training, and related services. The Website describes our Services in general terms for information purposes; it does not constitute a specific offer capable of acceptance, and no specific engagement is formed until both parties have signed, or otherwise agreed in writing, an Engagement Agreement setting out the scope, fees, timescales and specific terms of that engagement.
Where a conflict arises between the general description of a Service on the Website and the terms of a signed Engagement Agreement, the Engagement Agreement prevails.
The INTAI Assessment Suite™ is provided free of charge as a self-service diagnostic tool. By using an Assessment, you acknowledge and agree that:
Further detail on how Assessments are designed and scored is set out on our Assessment Methodology page, and common questions are answered on our Assessment FAQs page.
Use of the Website and the Assessment Suite is free of charge. Fees for the Portal are set out in Section 8. Fees for other paid Services are set out in the applicable Engagement Agreement and, unless otherwise agreed in writing, are exclusive of VAT and any other applicable taxes, which will be added at the prevailing rate.
Unless a different payment schedule is agreed in an Engagement Agreement, invoices are payable within 30 days of the invoice date. We reserve the right to charge interest on overdue amounts at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend delivery of Services where payment is materially overdue and has not been resolved after reasonable notice.
This Section 8 applies to the Portal. It forms the contract between INTAI and a Firm for the Portal, together with the rest of these Terms, the Data Processing Terms in Section 13 and our Privacy Policy. No separate Engagement Agreement is required for a Trial or a Subscription; where a Firm also has an Engagement Agreement with INTAI, that agreement governs the Services described in it and this Section 8 governs the Portal.
A Firm registers for the Portal by completing the sign-up form, verifying its work email address and accepting these Terms. The person who registers confirms that they are authorised to bind the Firm. The Firm must give accurate registration details, including its name and, where applicable, its Financial Conduct Authority firm reference number, and keep them up to date. The Firm is responsible for its Authorised Users, for ensuring that each of them uses a unique account protected by a password and two-step authentication, and for removing access promptly when a person leaves or changes role. Accounts may not be shared.
INTAI may offer a Firm a free Trial of the Portal for a period of 14 days from registration, or such other period as INTAI states at sign-up. No payment details are taken for a Trial. The Trial is an evaluation environment and is subject to the following conditions:
A Subscription is an annual licence priced per adviser Seat. The fee is £1,995 per Seat per year, exclusive of VAT, which is added at the prevailing rate, unless a different price is stated in the Portal at the time of purchase or agreed in writing. The Firm chooses the number of Seats when it subscribes. The number of active advisers on the Portal may not exceed the number of Seats paid for; the Portal enforces this limit. Additional Seats may be added at any time through the Portal and are charged immediately, pro rata for the remainder of the current subscription year, at the then-current per-Seat price. Seats may be reduced only with effect from the next renewal date.
Subscription fees are payable annually in advance. Payment is taken through our payment provider, Stripe Payments Europe, Ltd. and its affiliates (“Stripe”), using the payment methods offered at checkout, which may include card, Apple Pay, Google Pay and Bacs Direct Debit. INTAI does not receive or store card numbers or bank account details; these are handled by Stripe under its own terms and privacy policy. Where a payment method takes time to settle (for example Bacs Direct Debit), the Subscription starts when the payment is confirmed. The Firm must supply a valid billing address and, where applicable, its VAT registration number, and authorises INTAI and Stripe to charge the fees due under these Terms.
A Subscription runs for twelve months from the date the first payment is confirmed and renews automatically for successive twelve-month periods unless cancelled in accordance with Section 8.8 before the renewal date. The renewal fee is charged automatically to the Firm’s chosen payment method at the start of each renewal period. INTAI will give the Firm at least 30 days’ notice by email of any change to the per-Seat price that will apply at renewal; the Firm may cancel before the renewal date if it does not accept the change.
If a payment fails, INTAI and Stripe may retry it and will notify the Firm’s administrator. The Portal remains available for a grace period of 14 days from the failed payment. If payment has not been received by the end of the grace period, INTAI may suspend the Firm’s access to the Portal until payment is made. During a suspension the Firm’s data and governance evidence are retained and no workflow can be run. Section 7 (interest on overdue amounts) applies. INTAI may also suspend or restrict access where it reasonably believes the Portal is being used in breach of Section 8.10 or applicable law, or to protect the security or integrity of the Portal, giving notice where practicable.
Payment of the Subscription fee gives the Firm access to the Portal’s onboarding journey. It does not, by itself, enable the use of live AI capabilities on real client data. Before a Firm goes live on real data, the Firm must complete onboarding, including user set-up, training, workflow selection and confirmation of its rules, connection and authorisation of its business system, and any data protection impact assessment the Firm considers necessary as controller; and INTAI must confirm that the Firm’s configuration has passed INTAI’s governance approval. INTAI may decline or defer approval where these steps are incomplete. Time spent in onboarding counts towards the subscription year.
The Firm may cancel its Subscription at any time through the Portal’s billing area. Cancellation takes effect at the end of the current subscription year; the Firm keeps access until then and no further renewal fee is charged. Because the Subscription is a business licence paid annually in advance, fees already paid are not refundable for the unexpired part of a subscription year, except where these Terms or the law provide otherwise or INTAI agrees in writing. If INTAI terminates a Subscription for its own convenience (rather than for the Firm’s breach or non-payment), INTAI will refund the fees paid for the unexpired part of the current subscription year on a pro rata basis.
When a Subscription ends for any reason, the Firm’s access to the Portal is suspended. For a period of 30 days after the end date the Firm may request an export of its governance evidence and, subject to Section 13, its Firm Data, in a machine-readable format. After that period INTAI will delete Firm Data held in the Portal, except that INTAI may retain governance evidence (which does not contain client content), billing and contractual records, and security logs for the periods described in Section 13 and in our Privacy Policy, and may retain information where required by law.
The Firm and its Authorised Users must use the Portal only for the Firm’s own internal business purposes, only through the approved workflows made available to the Firm, and in accordance with these Terms and the Firm’s own policies and regulatory obligations. In addition to Section 15, the Firm must not, and must ensure its Authorised Users do not:
The Portal routes approved workflows to third-party AI models and returns draft outputs for human review. AI-generated outputs may be incomplete, inaccurate or unsuitable for a particular client, and INTAI’s validation and governance controls reduce but do not eliminate that risk. Every output must be reviewed and approved, edited, rejected or escalated by an Authorised User before it is used, and the Firm remains solely responsible for every output it approves, for any advice given to its clients and for its compliance with its regulatory obligations, including the Consumer Duty and the Senior Managers and Certification Regime. INTAI is not authorised or regulated by the Financial Conduct Authority, does not give financial or regulatory advice and makes no representation that use of the Portal satisfies any regulatory requirement.
INTAI will use reasonable endeavours to make the Portal available 24 hours a day, except for planned maintenance (notified in advance where practicable), emergency maintenance and events outside INTAI’s reasonable control, including the unavailability of third-party AI providers, business systems or payment services. Support is provided by email to the Firm’s administrators during UK business hours. INTAI may change the Portal, the approved workflows, the AI providers and models it routes to, and the governance controls it applies, at any time; INTAI will not materially reduce the core functionality of the Portal during a subscription year without notice.
Section 17 applies to the Portal. For the purposes of Section 17, INTAI’s total aggregate liability arising out of or in connection with a Subscription is limited to the fees paid by the Firm for the Portal in the twelve months preceding the event giving rise to the claim, and INTAI’s total aggregate liability arising out of or in connection with a Trial is limited to £100.
To enable us to deliver Services effectively, Clients agree to:
We are not liable for any delay or deficiency in the Services to the extent it results from a Client’s failure to meet these obligations.
All Content on the Website, including our methodology, assessment structures, scoring frameworks, report formats, templates, text, graphics, logos and the trademarks referred to in our Copyright notice, is owned by INTAI or our licensors and is protected by copyright, database right, trademark and other intellectual property laws. Nothing in these Terms transfers ownership of any INTAI intellectual property to you.
You may view, download and print Content for your own internal, non-commercial reference, provided you do not remove any copyright or trademark notices and do not use the Content to build a competing product or service.
Where INTAI produces bespoke deliverables for a Client under an Engagement Agreement, ownership and licensing of those deliverables will be set out in that Engagement Agreement; in the absence of a specific term, INTAI retains ownership of its underlying methodology, frameworks and pre-existing materials, and grants the Client a non-exclusive, perpetual licence to use the specific deliverables produced for that Client’s own internal business purposes.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Website or an engagement, whether marked confidential or that ought reasonably to be understood as confidential, and to use it only for the purpose for which it was disclosed.
This obligation does not apply to information that is or becomes publicly available other than through breach of these Terms, that was already known to the receiving party without obligation of confidence, that is independently developed, or that must be disclosed by law, regulation or a competent authority, provided reasonable notice is given where legally permitted.
Each party will comply with its obligations under applicable data protection law, including UK GDPR and the Data Protection Act 2018. Details of how INTAI processes personal information are set out in our Privacy Policy. Where INTAI processes personal data on behalf of a Firm through the Portal, the Data Processing Terms in Section 13 apply and constitute the parties’ data processing agreement for the purposes of Article 28 UK GDPR. Where INTAI processes personal data on behalf of a Client as a data processor under an Engagement Agreement, the parties will enter into a separate data processing agreement, unless the Engagement Agreement incorporates Section 13.
These Data Processing Terms apply where INTAI processes personal data contained in Firm Data on behalf of a Firm through the Portal. In this Section, “controller”, “processor”, “data subject”, “personal data”, “processing” and “personal data breach” have the meanings given in UK GDPR.
For personal data in Firm Data, including personal data relating to the Firm’s clients, the Firm is the controller and INTAI is the processor. For personal data relating to the Firm’s Authorised Users that INTAI processes for its own purposes (account administration, security, billing, service communications and analytics), INTAI is an independent controller and our Privacy Policy applies.
The Firm warrants that it has a lawful basis for the processing it instructs, that it has provided any notices and obtained any consents required to allow INTAI and the sub-processors in Section 13.5 to process Firm Data as described, and that its instructions comply with data protection law. The Firm is responsible for the accuracy and content of Firm Data, for deciding which workflows to enable and which business-system permissions to grant, and for carrying out any data protection impact assessment it considers necessary before going live on real client data.
INTAI will: process Firm Data only on the Firm’s documented instructions, which are these Terms, the Firm’s configuration of the Portal and the Firm’s use of it, unless required otherwise by law (in which case INTAI will inform the Firm where legally permitted); ensure that persons authorised to process Firm Data are bound by confidentiality; implement appropriate technical and organisational measures, including tenant isolation, role-based access control, two-step authentication, encryption in transit and at rest, minimisation and tokenisation of identifiers before data is sent to an AI provider, and tamper-evident logging; assist the Firm, taking into account the nature of the processing, in responding to data subject requests and in meeting its obligations regarding security, breach notification and impact assessments; notify the Firm without undue delay after becoming aware of a personal data breach affecting Firm Data; make available the information reasonably necessary to demonstrate compliance with this Section and allow for and contribute to audits, including inspections, conducted by the Firm or an auditor mandated by the Firm on reasonable notice, no more than once a year unless required by a regulator or following a breach; and not sell Firm Data or use it to train AI models.
The Firm gives INTAI general authorisation to engage sub-processors to provide the Portal. INTAI’s current sub-processors are:
INTAI may add or replace sub-processors, including additional approved AI providers, on at least 30 days’ notice by email to the Firm’s administrators or by notice in the Portal. If the Firm objects on reasonable data protection grounds and the parties cannot resolve the objection, the Firm may terminate its Subscription for the affected part of the Portal and receive a pro rata refund of prepaid fees for the unexpired period. INTAI will impose data protection obligations on each sub-processor equivalent to those in this Section and remains responsible to the Firm for its sub-processors’ performance.
Portal data is hosted in the United Kingdom. Some sub-processors, including the AI provider and the payment provider, may process personal data in the United States or other countries outside the UK. INTAI will ensure that any such transfer is covered by an appropriate safeguard under UK GDPR, such as UK adequacy regulations, the International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses, together with any supplementary measures reasonably required.
Client content held in the Portal for a workflow run (inputs, retrieved records, prompts and AI outputs) is kept only for the retention period set for that workflow, after which it is deleted automatically; the reversible map of tokenised identifiers is destroyed as soon as a run reaches a final state. Governance evidence consists of facts about what happened (identifiers, versions, decisions, timestamps and counts) and does not contain client content; it is retained for the life of the Subscription and for six years afterwards, or such other period as the Firm and INTAI agree in writing, so that the Firm can demonstrate how AI was governed. At the end of a Subscription, Section 8.9 applies: INTAI will delete or, at the Firm’s written request made within 30 days, return Firm Data, and will delete remaining copies unless retention is required by law. Data entered into a Trial is synthetic and is deleted 30 days after the Trial ends.
Each party’s liability under this Section is subject to Section 17 and Section 8.13, save that nothing limits a party’s liability to a data subject or a regulator to the extent that such liability cannot lawfully be limited.
The Website may contain links to third-party websites, tools or content for your convenience, for example research sources, regulatory bodies or partner organisations. We do not control and are not responsible for the content, accuracy or availability of any third-party website, and including a link does not imply our endorsement. You access third-party websites entirely at your own risk and subject to their own terms.
When using the Website, you agree not to:
We may suspend or restrict access to the Website, without notice, for any User we reasonably believe to be in breach of this Section.
The Website, its Content and the Assessment Suite are provided on an “as is” and “as available” basis. While we take reasonable care to keep the Website accurate, secure and available, we do not warrant that it will be uninterrupted, error-free, or free from viruses or other harmful components, and we do not warrant the accuracy, completeness or currency of any Content, including research, industry analysis, glossary definitions or Assessment Reports.
General Content published on the Website, including our AI Glossary, research articles and Assessment Reports, is provided for general informational purposes only and does not constitute legal, regulatory, financial, technical or other professional advice. You should not rely on general Website Content as a substitute for advice from a suitably qualified professional adviser who is familiar with your specific circumstances. To the maximum extent permitted by law, all implied warranties, conditions and other terms are excluded from these Terms.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under English law.
Subject to the paragraph above, and to the fullest extent permitted by law:
Each provision of this Section operates separately; if any part is found unenforceable by a court or other competent authority, the remaining parts continue to apply.
You agree to indemnify and hold INTAI harmless against any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or information you provide to us that is false, misleading or infringes the rights of a third party, except to the extent caused by our negligence or breach of these Terms.
We may suspend or terminate your access to the Website at any time, with or without notice, where we reasonably believe you have breached these Terms, where required by law, or where we are withdrawing or materially changing the Website.
Termination or suspension of Website access does not affect any Engagement Agreement then in force, which will continue to be governed by its own termination provisions. Suspension and termination of a Trial or Subscription to the Portal are governed by Section 8. Sections of these Terms that by their nature should survive termination, including Intellectual Property Rights, Confidentiality, Data Processing Terms, Limitation of Liability, Indemnity and Governing Law, will continue to apply after termination.
Neither party is liable for any failure or delay in performing its obligations under these Terms or an Engagement Agreement to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemic, industrial action, utility or telecommunications failure, or failure of a third-party supplier, provided the affected party notifies the other as soon as reasonably practicable and uses reasonable efforts to mitigate the impact.
Both parties agree to comply with all applicable anti-bribery and anti-corruption laws, including the Bribery Act 2010, and with applicable sanctions, export control and modern slavery legislation, in connection with these Terms and any Engagement Agreement.
Formal notices under these Terms must be given in writing and sent by email to enquiries@intai.co.uk, or, for notices to you, to the most recent email address you have provided to us. Notices are deemed received on the next business day after sending, provided no delivery failure notification is received.
You may not assign, transfer or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or subcontract our rights and obligations under these Terms, including to a group company or in connection with a merger, acquisition or sale of assets, provided this does not materially reduce the protections available to you.
If any provision of these Terms is found by a court or other competent authority to be invalid, illegal or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if that is not possible, will be severed, and the remaining provisions will continue in full force and effect.
No failure or delay by either party in exercising any right under these Terms operates as a waiver of that right, and a waiver of any breach does not constitute a waiver of any subsequent breach.
These Terms, together with our Privacy Policy and Copyright notice and, where applicable, an Engagement Agreement, constitute the entire agreement between you and INTAI in relation to their subject matter, and supersede all prior agreements, understandings or arrangements, whether written or oral, except that nothing in this Section excludes liability for fraud or fraudulent misrepresentation.
We may revise these Terms from time to time to reflect changes in our Services, applicable law or good practice. The version published on this page at the time of your use of the Website is the version that applies to that use; material changes affecting an active Engagement Agreement will only take effect for that engagement if agreed in writing between the parties. For a Subscription to the Portal, INTAI will give the Firm at least 30 days’ notice by email of any material change to Section 8 or Section 13; the change applies from the Firm’s next renewal date, and the Firm may cancel before that date if it does not accept it.
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that we may seek injunctive or equivalent relief in any jurisdiction where necessary to protect our intellectual property rights.
